1. SCOPE AND GENERAL INFORMATION

Welcome to Sosowave.

These Terms of Service ("Terms") apply to the use of the website sosowave.de and to all contracts concluded through our online store.

The online store Sosowave is operated by:

Hereinafter referred to as "Sosowave", "we", "us" or "our".

Our online store is hosted and technically supported by Shopify. Any purchase contract entered into through the store is concluded directly between you and Oakhurst Enterprises UG (haftungsbeschränkt), unless expressly stated otherwise.

These Terms apply primarily to consumers. A consumer is any natural person who enters into a legal transaction for purposes that predominantly are outside their trade, business or profession.

Mandatory statutory consumer rights remain unaffected by these Terms.


2. CONTRACT FORMATION

The presentation of products in our online store does not constitute a legally binding offer but an invitation to place an order.

By completing the checkout process and clicking the button that clearly indicates an obligation to pay, you submit a binding offer to purchase the products contained in your order.

After submitting your order, you will receive an automated order confirmation by email. Unless expressly stated otherwise in that confirmation, the automated confirmation merely acknowledges receipt of your order and does not yet constitute acceptance of your offer.

A purchase contract is concluded when we expressly accept your order, confirm dispatch of the goods, or dispatch the ordered goods.

We reserve the right not to accept an order where there is a legitimate reason to do so, including, for example, product unavailability, obvious pricing or product information errors, suspected fraud or payment issues.

If we do not accept an order for which payment has already been made, any amounts received will be refunded.


3. PRODUCTS

We make reasonable efforts to display and describe our products as accurately as possible.

However, the appearance of products, particularly colours, may vary depending on your device, screen settings and other technical factors.

Minor variations may also occur where products are handmade or manufactured using natural or artisanal materials, provided such variations do not constitute a defect under applicable law.

The product description available at the time of your order forms part of the contractual agreement.

We reserve the right to modify our product range and discontinue products at any time. Such changes do not affect contracts already concluded.


4. READY-TO-WEAR AND MADE-TO-ORDER PRODUCTS

Sosowave may offer both Ready-to-Wear products and products manufactured or customized following an order.

Ready-to-Wear products that are not individually customized are subject to the statutory withdrawal rights applicable to consumers.

Certain products may be manufactured specifically according to a customer's individual selection, specifications or personal requirements.

Where goods are not prefabricated and their production is governed by an individual choice or decision by the consumer, or where goods are clearly tailored to the consumer's personal needs, the statutory right of withdrawal may be excluded in accordance with applicable law.

Where applicable, we will identify relevant products as Made-to-Order, Custom-Made, Personalized, or by a comparable designation before the order is placed.

The mere fact that a product is manufactured only after an order has been placed does not, by itself, necessarily exclude statutory withdrawal rights.

Any exclusion of the right of withdrawal applies only where the applicable statutory requirements are fulfilled.

This does not affect statutory rights relating to defective, damaged or non-conforming goods.


5. PRICES AND PAYMENT

All prices displayed to consumers include applicable statutory VAT unless expressly stated otherwise.

Any additional shipping costs will be clearly communicated during the checkout process before the customer submits a binding order.

For deliveries outside the European Union, additional taxes, customs duties or import charges may be imposed by the destination country. Unless expressly stated otherwise, such charges are not included in our prices and may be payable by the recipient.

The payment methods currently available are displayed during checkout.

Payment is due in accordance with the payment method selected during checkout.


6. SHIPPING AND DELIVERY

Available shipping methods, shipping costs and estimated delivery times are displayed on our website or during checkout.

Delivery estimates are estimates unless a binding delivery date has expressly been agreed.

For Made-to-Order or individually manufactured products, production and delivery times may differ from Ready-to-Wear products. The estimated production or delivery period applicable to such products will be communicated on the relevant product page or during the ordering process.

We are not responsible for delays caused by circumstances outside our reasonable control. Mandatory statutory rights of the customer in the event of delayed delivery remain unaffected.

For consumers, the statutory provisions concerning the transfer of risk apply. In particular, the risk of accidental loss or accidental deterioration of the goods generally does not pass to the consumer merely because we hand the goods over to the shipping carrier.


7. RIGHT OF WITHDRAWAL

Consumers generally have a statutory right of withdrawal in accordance with applicable German and European consumer law.

Detailed information concerning the right of withdrawal, applicable deadlines, return procedure, return costs and any statutory exceptions can be found in our Refund & Return Policy / Withdrawal Policy.

The statutory withdrawal period for eligible goods is generally 14 days.

Certain individually manufactured, personalized or customized products may be excluded from the right of withdrawal where the statutory requirements for such exclusion are met.

Nothing in these Terms limits any mandatory statutory withdrawal rights.


8. RETURNS AND REFUNDS

Returns and refunds are handled in accordance with our Refund & Return Policy, which forms part of these Terms.

Where a consumer validly exercises a statutory right of withdrawal, refunds will be processed in accordance with applicable law.

This includes reimbursement of the standard delivery costs where required by law. Additional costs resulting from the customer's choice of a delivery method more expensive than our least expensive standard delivery option are not required to be reimbursed.

Unless otherwise agreed, refunds will be made using the same payment method used for the original transaction.


9. DEFECTIVE PRODUCTS AND STATUTORY WARRANTY RIGHTS

The statutory rights regarding defects and conformity of goods apply.

We encourage customers to inspect products upon delivery and contact us promptly if an issue is identified. Failure to contact us immediately does not limit mandatory statutory rights of consumers.

Any manufacturer's warranty or additional commercial guarantee, where offered, is in addition to and does not restrict statutory consumer rights.


10. RETENTION OF TITLE

Goods remain our property until full payment of the purchase price has been received.


11. ACCOUNTS

Certain functions of our store may allow or require customers to create an account.

You are responsible for keeping your login credentials confidential and for taking reasonable measures to prevent unauthorized access to your account.

Information provided when placing an order or creating an account must be accurate and complete.

We may restrict or terminate accounts where reasonably necessary, particularly in cases of fraudulent activity, misuse of the website or material violations of these Terms.


12. INTELLECTUAL PROPERTY

Unless otherwise indicated, the content available through Sosowave, including trademarks, logos, designs, photographs, videos, graphics, text and other materials, is owned by or licensed to Oakhurst Enterprises UG (haftungsbeschränkt) or the respective rights holder.

Such content is protected by applicable intellectual property laws.

Content may not be reproduced, distributed, commercially exploited, modified or otherwise used beyond what is permitted by applicable law without the prior permission of the respective rights holder.

Personal and non-commercial use of the website in accordance with these Terms remains permitted.

Shopify's trademarks and intellectual property remain the property of Shopify or its respective rights holders.


13. ACCEPTABLE USE

You may use our website only for lawful purposes.

In particular, you must not:

  • use the website for fraudulent or unlawful activities;

  • attempt to gain unauthorized access to our systems;

  • introduce viruses, malware or other harmful technology;

  • interfere with the security or proper operation of the website;

  • infringe intellectual property or other rights of third parties;

  • use automated systems to access or extract substantial portions of the website where prohibited by applicable law or technical restrictions; or

  • provide deliberately false or misleading information in connection with an order.

We may take reasonable measures to protect our website and Services against abuse or unauthorized access.


14. THIRD-PARTY SERVICES AND LINKS

Our website may contain links to or integrations with services provided by third parties.

Where you access a third-party website or service, the terms and privacy policies of the respective provider may apply.

We are not responsible for independent third-party websites or services unless liability arises under mandatory applicable law.


15. SHOPIFY

Our online store is powered by Shopify.

Shopify provides technical infrastructure and services that enable us to operate the online store. However, unless expressly stated otherwise, purchases made through Sosowave are transactions directly between the customer and Oakhurst Enterprises UG (haftungsbeschränkt).

Shopify is not the seller of the products offered by Sosowave.

The processing of personal data by Shopify and other service providers is addressed in our Privacy Policy.


16. PRIVACY

Information concerning how we collect and process personal data can be found in our Privacy Policy.

Our processing of personal data is governed by applicable data protection laws, including the General Data Protection Regulation (GDPR), where applicable.


17. LIABILITY

We are liable without limitation for damages resulting from intent or gross negligence.

We are also liable without limitation for damages resulting from injury to life, body or health, as well as in cases where liability is mandatory under applicable law, including applicable product liability law.

In cases of slight negligence, we are liable where we breach an essential contractual obligation, meaning an obligation whose fulfilment is necessary for the proper performance of the contract and on whose compliance the customer may regularly rely.

In such cases, liability is limited to the foreseeable damage typical for the contract, to the extent permitted by law.

Mandatory statutory liability remains unaffected.


18. FORCE MAJEURE

We are not responsible for delays or failure to perform contractual obligations caused by events outside our reasonable control, including natural disasters, strikes, governmental measures, war, disruptions to transportation or supply chains, or comparable events.

This provision does not restrict mandatory statutory rights, including any rights to terminate or withdraw from a contract where the statutory requirements are met.


19. SEVERABILITY

If any provision of these Terms is or becomes invalid or unenforceable, the validity of the remaining provisions will not be affected.

The applicable statutory provisions shall apply in place of any invalid or unenforceable provision.


20. GOVERNING LAW

These Terms and contractual relationships between us and our customers are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

For consumers, this choice of law applies only insofar as it does not deprive the consumer of mandatory protections provided by the law of the country in which the consumer has their habitual residence.

Mandatory consumer protection provisions therefore remain unaffected.


21. DISPUTE RESOLUTION

Information regarding participation in consumer dispute resolution proceedings will be provided in accordance with the applicable statutory requirements.

Unless we expressly state otherwise or are legally required to participate, Oakhurst Enterprises UG (haftungsbeschränkt) is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.


22. CHANGES TO THESE TERMS

We may update these Terms where reasonably necessary, for example due to changes in applicable law, our Services or our business operations.

The version applicable to an individual purchase is generally the version in effect at the time the respective order is placed.

Changes to these Terms do not retroactively alter contracts already concluded unless permitted by applicable law or expressly agreed.
